Understanding the Requirements
What you need to incorporate
Set Up Private Ltd Company
To set up a private limited company you need to register with Companies House. This is known as 'incorporation'. You will need:
- A company name (following strict rules)
- An address for the company
- At least one director & one shareholder
- A 'statement of capital' detailing shares
Memorandum & Articles
When you register your company you need two foundational documents:
Memorandum of Association: A legal statement signed by all initial shareholders agreeing to form the company.
Articles of Association: The written rules about running the company, agreed by the shareholders, directors, and the company secretary.
Register for Corporation Tax
Registering with Companies House is just the first step. Your new company will also need to be officially registered for Corporation Tax.
This registration must be completed within 3 months of starting to do business to avoid severe HMRC penalties. Our formation packages ensure this is handled on time.
